1. Acceptance of Terms

By accessing or using Cortif Technologies' monitoring and analytics platform called Noah (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

Important Notice

These Terms constitute a legally binding agreement between you and Cortif Technologies Inc. Please read them carefully and contact us if you have any questions before using the Service.

2. Description of Services

Advanced Analytics

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice to users.

3. User Accounts

3.1 Account Creation

To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for:

  • ✓Notifying us immediately of any unauthorized access or security breach
  • ✓Ensuring your account information remains accurate and up-to-date

3.2 Account Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use the Service. Accounts registered by automated means or under false pretenses are not permitted.

3.3 Account Security

We recommend enabling multi-factor authentication and using strong, unique passwords. You agree not to share your account credentials with third parties or allow others to access your account.

4. Acceptable Use Policy

You agree not to use the Service to:

  • ✕Use the Service for any illegal, harmful, or fraudulent purpose

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account.

5. Payment and Billing

5.1 Subscription Plans

Noah offers various subscription plans with different features and pricing. By subscribing to a paid plan, you agree to pay all applicable fees as described on our pricing page.

5.2 Billing Cycle

Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. Payments are automatically charged to your designated payment method on each billing cycle.

5.3 Payment Methods

We accept major credit cards and other payment methods as indicated on our platform. You authorize us to charge your selected payment method for all fees incurred.

Important Billing Information

  • ●Auto-Renewal: Subscriptions automatically renew unless cancelled before the renewal date
  • ●Price Changes: We will notify you 30 days in advance of any price increases
  • ●Failed Payments: Service may be suspended if payment fails; account may be terminated after repeated failures
  • ●Refunds: Refunds are provided on a case-by-case basis at our discretion

5.4 Taxes

All fees are exclusive of applicable taxes, which will be added to your invoice as required by law. You are responsible for paying all applicable taxes.

5.5 Cancellation

You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period, and no refunds are provided for partial periods.

6. Intellectual Property Rights

6.1 Cortif Technologies's Rights

The Service, including all content, features, functionality, software, and technology, is owned by Cortif Technologies and protected by copyright, trademark, patent, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes.

6.2 Restrictions

  • ✕Copy, modify, distribute, or create derivative works of the Service
  • ✕Rent, lease, lend, sell, or sublicense access to the Service
  • ✕Use the Service to develop competing products or services
  • ✕Remove or modify any proprietary notices or labels

6.3 Trademarks

Noah, the Noah logo, and other marks are trademarks of Noah. You may not use these marks without our prior written permission.

7. User Content and Data

7.1 Your Data

You retain all rights to the data you submit to the Service (“User Data”). By using the Service, you grant Cortif Technologies a limited license to process, store, and analyze User Data solely to provide and improve the Service.

7.2 Data Responsibilities

You represent and warrant that:

  • ✓You have all necessary rights to submit User Data to the Service
  • ✓User Data does not violate any laws or third-party rights
  • ✓User Data does not contain malicious code or harmful content
  • ✓You comply with all applicable data protection and privacy laws

7.3 Aggregated Data

We may create anonymized, aggregated statistics from User Data for analytics, benchmarking, and service improvement purposes. This aggregated data does not identify you or your organization.

7.4 Data Deletion

Upon termination of your account, we will delete your User Data within 90 days, except where retention is required by law or for legitimate business purposes.

8. Warranties and Disclaimers

Important Legal Notice

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the maximum extent permitted by law, Cortif Technologies disclaims all warranties, including but not limited to:

  • ✕Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • ✕Warranties that the Service will be uninterrupted, error-free, or secure
  • ✕Warranties regarding the accuracy, reliability, or completeness of results
  • ✕Warranties that defects will be corrected or that the Service is free from viruses

You acknowledge that:

  • ✓The Service may experience downtime for maintenance or technical issues
  • ✓You are solely responsible for your use of the Service and any decisions based on Service data
  • ✓Cortif Technologies does not guarantee specific uptime percentages except as specified in Enterprise SLAs

9. Limitation of Liability

Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORTIF TECHNOLOGIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE.

In no event shall Cortif Technologies' total liability to you for all claims arising out of or related to these Terms or the Service exceed the greater of:

  • •The amount you paid to Cortif Technologies in the 12 months preceding the claim, or
  • •100 EUR

This limitation applies regardless of the legal theory on which the claim is based, including breach of contract, tort, negligence, strict liability, or otherwise.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Cortif Technologies, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:

  • ✔Your use or misuse of the Service
  • ✔Your violation of these Terms or any applicable laws
  • ✔Your User Data or any content you submit to the Service
  • ✔Your violation of any third-party rights, including intellectual property or privacy rights
  • ✔Any negligent or wrongful conduct by you or anyone using your account

Noah reserves the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense of such claims.

11. Termination

11.1 Termination by You

You may terminate your account at any time by following the cancellation process available in your account settings. Termination takes effect at the end of your current billing period.

11.2 Termination by Cortif Technologies

We may suspend or terminate your account immediately, without prior notice, if:

  • ✕You violate these Terms or our Acceptable Use Policy
  • ✕Your payment method fails or you have outstanding fees
  • ✕We are required to do so by law or court order
  • ✕Your use of the Service poses a security risk or could harm our systems or other users
  • ✕You engage in fraudulent or illegal activities

11.3 Effect of Termination

Upon termination:

  • ➜Your right to access and use the Service immediately ceases
  • ➜You remain responsible for all fees incurred prior to termination
  • ➜We will delete your User Data within 90 days, subject to legal requirements
  • ➜Sections of these Terms that by their nature should survive will remain in effect

12. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and cancel your account.

Material changes will be effective 30 days after notice is provided, except where required by law to be effective immediately.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved through the following process:

Step 1: Informal Negotiation

Contact us at legal@cortif.ai to attempt to resolve the dispute informally within 30 days.

Step 2: Mediation

If informal negotiation fails, the parties agree to mediation before a mutually agreed mediator.

Step 3: Binding Arbitration

If mediation fails, disputes will be resolved through binding arbitration in Paris, France.

13.3 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and Cortif Technologies individually. To the fullest extent permitted by law, you waive any right to participate in a class action lawsuit or class-wide arbitration.

13.4 Jurisdiction

You agree to submit to the personal jurisdiction of the state and federal courts located in Paris, France for any actions not subject to arbitration.

14. General Provisions

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Cortif Technologies.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

Cortif Technologies shall not be liable for any failure to perform due to circumstances beyond our reasonable control.

You agree to comply with all applicable export and import laws and regulations.
